Terms of Service
Version 2026-10-16 · Effective 16 October 2026
1. Who these Terms are between
These Terms are an agreement between AmbitX (Pty) Ltd, trading as CitedAI ("we", "us") and the organisation that signs an order form or accepts a quote from us for CitedAI (the "Client"). Everyone who uses CitedAI does so on behalf of a Client and must follow these Terms.
The order form or accepted quote (the "Order") sets out the scope, fees and term. If the Order and these Terms conflict, the Order wins for that Client. Together with our Privacy Policy, they are the whole agreement between us about CitedAI.
2. Supplier information
The Electronic Communications and Transactions Act, 2002 (ECTA), section 43, requires us to give you this information:
- Supplier
- AmbitX (Pty) Ltd, trading as CitedAI
- Legal status
- Private company incorporated in the Republic of South Africa
- hello@ambitx.ai
- Website
- citedai.co.za
We do not subscribe to any industry code of conduct. You can save or print these Terms at any time; your signed Order and our invoices are your record of the transaction, and earlier versions of these Terms are available on request.
3. The service
CitedAI measures how AI assistants answer the questions that matter in your market. We send questions and keywords to AI models from three AI model providers in the United States. One of them is Google. We record which brands each answer names and in what order. We also record whether the answer speaks well or badly of them, and which websites it draws on. The dashboard shows share of voice, changes between scans, search demand for your keywords, and content recommendations. The Order sets out which models, how many keywords and how often we scan. Access starts on the start date in the Order.
We may improve and change the service. We will not materially reduce the core functions in your Order during a paid term without telling you in advance.
4. Accounts and users
- Access is by invitation only. We create accounts for the users the Client nominates.
- Each user must be at least 18 and authorised by the Client. The Client is responsible for what its users do on CitedAI.
- Keep sign-in details confidential. Tell us at once if you suspect unauthorised access.
- Tell us when a user leaves the Client so we can remove their access.
5. Fees, invoicing and payment
- Fees are set out in the Order, in South African rand (ZAR). Unless the Order says otherwise, fees exclude VAT, which is added where applicable.
- We invoice as the Order sets out. Unless the Order says otherwise, invoices are payable by EFT within 30 days of the invoice date, into the bank account shown on the invoice.
- We will never change our bank details by email alone. Before paying to new bank details, confirm them with us through a contact you already know.
- If you dispute an invoice, tell us in writing within 14 days of receiving it and pay any undisputed part on time.
- If an undisputed invoice is unpaid 14 days after we have sent a written reminder, we may suspend access until it is paid. Fees for the suspended period remain payable.
- Where we agree that you may pay by card, payment is processed by Paystack.
- Fees are not refundable except where these Terms, the Order or the law says otherwise.
6. Term, renewal and termination
- The agreement runs for the initial term in the Order. If the Order states no term, it runs month to month.
- It then renews automatically for periods of the same length unless either party gives written notice at least 30 days before the end of the current period.
- Either party may terminate by written notice if the other materially breaches the agreement and does not remedy the breach within 14 days of written notice, or if the other becomes insolvent or is placed in business rescue or liquidation.
- When the agreement ends, access ends. Fees for the period before termination remain payable.
- For 30 days after the agreement ends, the Client may ask us for an export of its data. We then delete the Client’s data as our Privacy Policy describes, unless the Client asks us in writing, before that period ends, to keep it longer.
Cooling-off
If the Client is a natural person contracting as a consumer, ECTA section 44 lets you cancel this agreement without reason or penalty within seven days after it is concluded, subject to the exceptions in ECTA section 42, and we will refund any payment within 30 days. This right does not apply to businesses or other juristic persons.
7. Acceptable use
You must not, and must not let anyone else:
- use CitedAI for anything unlawful, or to create or publish content that is defamatory, misleading or infringes anyone’s rights;
- try to access another client’s data, or probe, scan or test the security of CitedAI without our written permission;
- copy, resell or sublicense CitedAI, or use automated tools to extract data from it, except through features we provide;
- reverse engineer CitedAI, or use it to build a competing product;
- put personal information into CitedAI that you are not entitled to process, or any special personal information or information about children;
- overload the service or interfere with other clients’ use of it.
We may suspend access that breaches this section or puts the service or other clients at risk, and will tell you why.
8. Your data
The Client owns the data it and its users put into CitedAI (its brands, competitors, keywords, domains and other configuration), the website visit totals we read if the Client connects its website statistics, and the results and reports we produce for it ("Client Data"). The Client may use its results and reports for any lawful purpose, including sharing them with its agencies.
Website visit totals are monthly counts of visits, leads and sales by source and by page. They hold nothing about any individual visitor. We read them only from a site the Client connects, keep them until the Client removes the site or the agreement ends, and the Client can stop us reading them at any time by removing our access.
The Client grants us a non-exclusive, royalty-free licence to host, copy, process and transmit Client Data, including to the service providers listed in our Privacy Policy, only to provide, secure and support CitedAI for the Client. We claim no other rights in Client Data.
We own CitedAI itself: the software, methods, design and documentation. Nothing in these Terms transfers them to you. If you give us feedback, we may use it without obligation to you.
9. AI results: what they are and are not
- AI assistants do not give the same answer every time. Answers vary between runs, over time, between model versions, and with the exact wording of a question.
- Our results are samples of what the models said when we asked them. They are not a complete or permanent record of what any AI assistant tells any particular person.
- We do not control the AI providers. They may change, restrict or withdraw their models, which can change results or what we can measure.
- Search-demand figures are third-party estimates.
- Content recommendations and article drafts are generated by AI. Review and verify them before you publish; you are responsible for what you publish.
- We do not guarantee any visibility, ranking, share of voice or commercial outcome.
10. Confidentiality
Each party will keep the other’s confidential information confidential, use it only for this agreement, and disclose it only to people who need it for that purpose and are bound to keep it confidential. This does not apply to information that is or becomes public through no fault of the receiving party, that it already had or develops independently, or that it must disclose by law (after telling the other party, where the law allows). This clause lasts for the agreement and three years after it ends.
11. Personal information (POPIA)
Our Privacy Policy explains how we handle personal information for which we are the responsible party, such as users’ account details.
Where Client Data contains personal information for which the Client is the responsible party, we act as the Client’s operator under POPIA sections 20 and 21. We will:
- process it only to provide CitedAI under this agreement and on the Client’s documented instructions, unless the law requires otherwise;
- treat it as confidential and maintain appropriate, reasonable security safeguards (POPIA section 19);
- tell the Client without undue delay if we have reasonable grounds to believe it has been accessed or acquired by an unauthorised person;
- use only the service providers listed in our Privacy Policy, which the Client authorises, and update that list before adding one;
- help the Client respond to requests from data subjects; and
- delete it when the agreement ends, as section 6 describes.
The Client confirms it has a lawful basis for any personal information it puts into CitedAI and has told the people concerned what POPIA requires.
12. Warranties
We will provide CitedAI with reasonable skill and care, substantially as described in these Terms and the Order. We aim for CitedAI to be available at all times but do not promise uninterrupted or error-free service; planned maintenance and outages at our providers can interrupt it. Unless the Order provides a service level, there is none. Apart from what these Terms say, and to the extent the law allows, we give no other warranties.
Nothing in these Terms limits any right you have under the Consumer Protection Act, 2008 or ECTA that the law does not allow to be limited.
13. Limits on liability
Each party’s total liability arising from this agreement, whatever the cause, is limited to the fees the Client paid us in the 12 months before the event giving rise to the claim. Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
These limits do not apply to fees the Client owes, to fraud or wilful misconduct, or to liability that the law does not allow to be limited.
14. Governing law and disputes
South African law governs these Terms. The parties consent to the jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
15. Notices
Send notices to us by email to hello@ambitx.ai. We send notices to the Client at the email address on the Order, or the one it has since given us in writing. An email notice is received on the next business day after it is sent.
16. Changes to these Terms
We may update these Terms. The new version applies from its effective date, shown at the top of this page. For a Client in a paid term, a material change applies from its next renewal unless the Client accepts it sooner or the law requires it sooner. We tell account holders about material changes by email or in the app.
17. General
- Neither party may transfer this agreement without the other’s written consent, except that we may transfer it to whoever takes over the CitedAI business, on notice to the Client.
- Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages at AI or hosting providers.
- If a court finds part of these Terms unenforceable, the rest remains in force.
- A party that does not enforce a right has not waived it.
- The parties are independent contractors.
